Definitions

For purposes of these Terms, the following definitions apply:

• "Services" means the Yorph AI platform, software, APIs, and related products, including all associated features, documentation, and support resources provided by Yorph AI.
• "Customer Data" means any data, information, files, or content that you upload, submit, or otherwise provide through the Services, including any personal information contained within such data.
• "AI Outputs" means any analyses, text, code, or other results generated by Yorph AI's AI systems in response to Customer Data or user input.
• "Usage Data" means aggregated and anonymized data about how the Services are accessed and used, including system performance metrics, feature utilization, and error logs, which does not identify any individual user or Customer Data.
• "Personal Information" or "Personal Data" means any information that identifies or could reasonably be used to identify an individual, as defined under applicable privacy laws.
• "You" or "User" means the individual or organization accessing or using the Services under these Terms.

2. Who Can Use Our Services

2.1 Age and Legal Requirements

You must be at least 18 years old and legally capable of entering into binding contracts. If you're using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. How You Can Use Our Services

3.1 Your License to Use Yorph

You agree not to:

• Reverse engineer or attempt to extract our source code
• Use our Services to build competing AI platforms
• Scrape or extract data from our platform
• Bypass usage limits or security measures
• Share your account with unauthorized users
• Use our Services for illegal or harmful purposes

4. Understanding AI Technology

4.1 How AI Works

Our Services use artificial intelligence that learns from data and generates outputs. It's important to understand that AI:

• May produce outputs that contain errors or inaccuracies
• Can reflect biases present in training data
• Should be reviewed by humans for important decisions
• Continuously improves but is not perfect

5. Data Ownership and Classification

5.1 Your Data (Customer Data)

You retain complete ownership of all information, files, and data that you upload, submit, or otherwise provide to our Services ("Customer Data"). This includes any personal information contained within your data.

You grant us a limited, worldwide, non-exclusive license to process your Customer Data solely for the purpose of providing our Services to you. This license allows us to:

• Process and analyze your data using our AI systems
• Store your data securely on our platform
• Use third-party service providers to help deliver our Services
• Perform necessary technical operations to maintain service functionality

You are fully responsible for ensuring that:

• Your Customer Data complies with all applicable laws
• You have proper rights and permissions to upload and process the data
• The data is appropriate for use with our Services
• You have obtained necessary consents from data subjects where required

5.2 Personal Information Within Your Data

When your Customer Data contains personally identifiable information ("Personal Data") that is subject to data protection regulations (such as GDPR, CCPA, or other applicable privacy laws), you represent and warrant that:

• You are in full compliance with all applicable data protection laws
• You have obtained all necessary permissions, consents, and legal authorizations to share this personal information with us
• You have the legal right to process this personal information for your intended purposes
• You will maintain compliance with applicable privacy laws throughout your use of our Services

We will process Personal Data only in accordance with:

• Applicable data protection laws and regulations

5.3 Sensitive and Special Category Data

Yorph AI is designed with strong security and privacy controls; however, our platform is not intended for processing certain categories of highly regulated information.

You must not upload any protected health information (PHI) or any data subject to HIPAA or comparable healthcare privacy laws. Yorph AI is not a "Business Associate" under HIPAA and does not process PHI on behalf of any user.

For other forms of sensitive or special category data (such as financial account numbers, government identifiers, biometric data, or information revealing racial or ethnic origin, political opinions, or religious beliefs), users are required to ensure that:

• The processing of such data complies with all applicable laws;
• You have obtained all necessary rights and permissions;
• Any legally required notices or consents have been provided to data subjects; and
• Appropriate safeguards are implemented within your environment when connecting such data to the Services.

Yorph AI implements industry-standard technical and organizational measures to protect Customer Data; however, we do not provide regulatory-specific compliance (such as HIPAA, PCI-DSS, or FedRAMP). You are responsible for ensuring that the Services align with your organizational and regulatory requirements before transmitting sensitive or special category data.

5.4 Platform Usage Analytics (Usage Data)

We collect and analyze information about how our Services are used, including:

• System performance metrics and usage statistics
• Feature utilization and user interaction patterns
• Error logs and diagnostic information
• Aggregated analytics about platform performance

We use this Usage Data to:

• Improve our Services and develop new features
• Monitor system performance and identify technical issues
• Conduct research and analytics for business purposes
• Create aggregated reports and insights

We may share Usage Data publicly or with third parties only when it has been:

• Completely anonymized and aggregated
• Stripped of any identifying information about you or your organization
• Processed to ensure no individual users or customers can be identified

We retain all rights to Usage Data, subject to your ownership rights in your original Customer Data.

5.5 AI-Generated Content Ownership

All Users — including both paid and free tiers — retain ownership of all analyses and outputs generated by Yorph AI's systems using their Customer Data. You may use, modify, distribute, and commercialize these AI-generated outputs without restriction, subject to these Terms and any applicable laws.

Yorph AI does not claim ownership over any Customer Data or AI outputs generated from it. However, Yorph AI may use aggregated, anonymized data for the limited purpose of improving its models and services, as described in our Privacy Policy.

5.6 AI Training and Model Improvement

Yorph AI prioritizes ethical data practices and user privacy. We do not use identifiable Customer Data—whether personal information (PII) or non-PII content such as files, or outputs—to train or fine-tune our AI models.

Anonymized and Aggregated Data:

To enhance our platform's performance and reliability, Yorph AI may use anonymized and aggregated data derived from user interactions, including prompts and system usage patterns. Before any such data is used for analytical or improvement purposes, it is processed to remove or obfuscate all information that could reasonably identify a user or organization. This anonymized data is used solely to:

• Detect and address system performance issues;
• Improve model quality and reliability; and
• Develop new features and optimize user experience.

Transparency:

These practices apply equally across all subscription tiers. Yorph AI's agentic system improvement processes never involve identifiable Customer Data, and any anonymized prompts or metrics used for enhancement cannot be traced back to an individual user or organization.

6. Privacy and Data Security

6.1 Our Privacy Commitment

We are committed to protecting your privacy and data. Our comprehensive Privacy Policy explains our data handling practices in detail.

6.2 Security Measures We Implement

Yorph AI employs industry-standard, enterprise-grade security controls—including encryption in transit and at rest, strict access controls, environment isolation, and continuous monitoring—to protect Customer Data from unauthorized access, misuse, or disclosure.

6.3 Your Security Responsibilities

You are responsible for:

• Maintaining the security of your account credentials and login information
• Monitoring your account for unauthorized access or suspicious activity
• Promptly reporting any security concerns or potential breaches

6.4 Data Retention and Deletion

Default Retention:

Yorph AI follows a privacy-by-design approach. By default, Customer Data (including prompts, files, and outputs) is deleted automatically after the session or workflow completes. We do not store your Customer Data unless you explicitly opt in to temporary data retention.

Optional 30-Day Retention:

If you enable the 30-day retention option in your account settings, Yorph AI will securely store your Customer Data for up to 30 days to support workflow continuity and retrieval. After this period, the data will be permanently deleted unless renewed or extended by you through your account preferences.

Usage Data:

Anonymized usage and performance data may be retained indefinitely for legitimate business analytics, system optimization, and security purposes.

6.5 International Data Processing

Your data may be processed and stored in multiple countries where we or our service providers operate.

7. Acceptable Use

7.1 Be Respectful and Legal

When using our Services, you must:

• Follow all applicable laws and regulations
• Respect others' rights and privacy
• Use our Services honestly and fairly
• Report any security issues you discover

7.2 Prohibited Content and Activities

Do not use our Services to create, store, or share:

• Illegal, harmful, or abusive content
• Content that harasses or threatens others
• Sexually explicit material involving minors
• Malware, viruses, or harmful code
• False or misleading information intended to deceive
• Content that violates intellectual property rights

7.3 Third-Party AI Provider Compliance

Our Services use AI models from OpenAI, Anthropic, and Google. You must also comply with their usage policies:

8. Subscription Plans and Payments

8.1 Subscription Plans

We offer different subscription tiers with varying features and usage limits. Current plans and pricing are available on our website.

8.2 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are in US dollars unless otherwise specified
• Payment is due immediately upon subscription
• We accept major credit cards and other payment methods

8.3 Automatic Renewal and Cancellation

• Subscriptions automatically renew each month
• You can cancel anytime through your account settings
• Cancellation takes effect at the end of your current billing period
• No partial refunds for unused portions of billing periods

9. Intellectual Property

9.1 What We Own

Yorph AI owns:

• Our platform, software, and technology
• The Yorph AI name, logo, and branding
• Our algorithms and proprietary systems
• Documentation and training materials
• The yorph.ai website and related domains

9.2 What You Own

You retain ownership of:

• Your original data and content
• Your business processes and logic
• Applications you build using our platform
• AI outputs generated from your inputs (for paid plans)

9.3 Feedback

If you submit feedback, suggestions, or ideas about Yorph AI or our Services, you grant Yorph AI a perpetual, irrevocable, royalty-free, worldwide license to use, copy, modify, and create derivative works from that feedback for any purpose, including improving or developing our Services. This license does not obligate Yorph AI to implement any feedback, and no compensation will be provided for its use.

9.4 Desktop Application License

If you download, install, or use any Yorph AI desktop application or locally installed software ("Desktop Software"), the following terms apply in addition to these Terms.

Yorph AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Desktop Software solely for your internal business purposes during the term of your subscription.

You may not:

• copy, modify, distribute, sell, sublicense, rent, lease, or otherwise transfer the Desktop Software;
• reverse engineer, decompile, disassemble, or attempt to extract the source code of the Desktop Software, except to the extent permitted by applicable law;
• use the Desktop Software to develop or support a competing product or service;
• circumvent or bypass any technical limitations, security measures, or usage restrictions.

The Desktop Software is licensed, not sold. Yorph AI and its licensors retain all right, title, and interest in and to the Desktop Software and all related intellectual property rights.

Yorph AI may automatically update the Desktop Software to improve functionality, security, or performance. Upon termination of your access to the Services, you must immediately uninstall and cease all use of the Desktop Software.

10. Service Availability and Support

10.1 Service Levels

We strive to provide reliable service but cannot guarantee 100% uptime. We may occasionally need to:

• Perform maintenance and updates
• Temporarily suspend service for technical reasons
• Make changes to improve functionality

10.2 Customer Support

We provide support through:

• Email support for all users (queries@yorph.ai)
• Priority support for paid subscribers
• Documentation and tutorials
• Community forums and resources

10.3 Service Changes

We may modify, update, or discontinue features of our Services. We'll provide reasonable notice for significant changes that affect your use of the Services.

10.4 Third-Party Services and Integrations

Our Services may integrate with or rely on third-party applications or providers, including Fastn (for data synchronization), Google Cloud Platform (for hosting), and Square (for payment processing). These third-party services are governed by their own terms and privacy policies, and Yorph AI is not responsible for their acts or omissions. Yorph AI is not liable for any damages or losses arising from your use of or reliance on third-party products or services.

11. Important Legal Information

11.1 Service Warranties

We warrant that our Services will substantially perform as described in our documentation under normal use conditions.

11.2 What We Cannot Promise

EXCEPT FOR THE ABOVE WARRANTY, OUR SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING:

• Accuracy or completeness of AI outputs
• Uninterrupted or error-free service
• Fitness for your specific purposes
• Freedom from security vulnerabilities
• Compliance with industry-specific regulations

11.3 Limitation of Our Liability

OUR LIABILITY TO YOU IS LIMITED AS FOLLOWS:

Liability Cap:

Our total liability for any claims will not exceed the greater of (a) the amount you paid us in the past 12 months, or (b) $1,000.

Excluded Damages:

We are not liable for indirect, incidental, or consequential damages, including:

• Lost profits or business opportunities
• Data loss or corruption (beyond our data retention obligations)
• Business interruption
• Reputational harm
• Third-party claims related to AI outputs

Time Limit: Any claims must be brought within one year of when they arise.

11.4 AI Output Responsibility

You understand and agree that AI-generated outputs produced through the Services may contain errors, omissions, or inaccuracies. Such outputs are generated automatically based on input data and model behavior and should not be relied upon as factual, complete, or error-free. You are solely responsible for reviewing, validating, and using any AI outputs and for any decisions, actions, or outcomes resulting from them. Yorph AI disclaims all liability arising from your reliance on or use of AI-generated content.

11.5 Indemnification

You agree to indemnify, defend, and hold harmless Yorph AI, Inc., its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms or violation of any applicable law or regulation;
• Your Customer Data or any content you submit, upload, or otherwise provide through the Services;
• Your use or misuse of the Services, including any reliance on AI-generated outputs; or
• Any claim alleging that your data or your use of the Services infringes or misappropriates the intellectual property, privacy, or other rights of any third party.

Yorph AI reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with us in defending such claims.

11.6 When You'll Defend Us

You'll defend us against claims arising from:

• Your breach of these Terms
• Your violation of applicable laws
• Content you provide to our Services
• Unauthorized use of your account

12. Account Termination

12.1 When Accounts May Be Terminated

We may suspend or terminate your account if:

• You violate these Terms
• You don't pay required fees
• We reasonably believe illegal activity has occurred
• Your use poses security risks to our Services

12.2 What Happens After Termination

If your account is terminated:

• Your access to our Services stops immediately
• We'll delete your data according to our retention policy
• Outstanding payment obligations remain due

12.3 Your Right to Cancel

You can cancel your account anytime. Upon cancellation:

• Your subscription won't renew
• You keep access until your billing period ends
• You can download your data before access expires

13. Legal Compliance and Export Controls

13.1 Export Control Laws

Our Services and technology may be subject to export control laws. You agree:

• Not to provide access to prohibited persons or countries
• Not to use our Services in violation of trade sanctions
• To comply with all applicable export regulations

13.2 Prohibited Jurisdictions

You may not use our Services if you are:

• Located in a country subject to US trade embargos
• Listed on any government restricted parties list
• Otherwise prohibited from receiving our Services

13.3 Your Compliance Obligations

You represent that your use of our Services complies with:

• All applicable local, state, and federal laws
• International trade and export regulations
• Your industry's specific compliance requirements
• Any professional or regulatory obligations

14. Dispute Resolution

14.1 Informal Resolution First

Before starting any legal proceedings, we both agree to try to resolve disputes informally. Please contact us at legal@yorph.ai, and we'll work together in good faith to find a solution.

14.2 Binding Arbitration

If informal resolution doesn't work, disputes will be resolved through binding arbitration rather than court proceedings.

Arbitration Details:

• Administered by the American Arbitration Association
• Conducted under their Commercial Arbitration Rules
• Single arbitrator chosen by mutual agreement
• Location: Delaware
• English language proceedings
• Each party pays their own costs unless arbitrator decides otherwise

Exceptions to Arbitration:

• Small claims court cases (under jurisdictional limits)
• Requests for injunctive relief to protect intellectual property
• Governmental enforcement actions

14.3 No Class Actions

You agree that any arbitration will be conducted individually. You waive any right to participate in class actions, collective proceedings, or representative actions.

14.4 Governing Law

These Terms are governed by Delaware law, without regard to conflict of law principles. Any court proceedings (where allowed) must be brought in Delaware state or federal courts.

15. General Provisions

15.1 Complete Agreement

These Terms, together with our Privacy Policy, constitute the complete agreement between us regarding your use of our Services.

15.2 Changes to These Terms

We may update these Terms from time to time. We'll provide 30 days' notice for material changes. Your continued use after changes take effect means you accept the updated Terms.

15.3 If Part of These Terms Is Invalid

If any part of these Terms is found to be unenforceable, the rest remains in full effect.

15.4 No Assignment by You

You cannot transfer your rights under these Terms without our written permission. We may assign our rights to affiliates or in connection with a sale of our business.

15.5 Communications

We may send you service-related announcements and updates. Important legal notices will be sent to your registered email address.

15.6 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, government actions, or internet outages.
